Trust But Verify

Board governance can be boiled down to a focus on the board’s fiduciary duty to the shareholders.  Board members should focus on checks and balances that will ensure the company is operating in the most transparent manner.  There should be no dusty, dark corners of the business where a board member would be embarrassed to admit they were blind, or where they feel they let the investors down by not providing oversight. It comes down to “trust but verify” when a board works with management.
